DRAFTING THE DEAL STRUCTURE DOCUMENT AND PURCHASE AGREEMENT

Once due diligence is complete, you will finalize the Deal Structure with the seller in a written document. This often takes the form of a graphic representation of the deal and may present a choice of alternative possible deal structures. Adding the new information that you have gathered, along with your revised valuation, to what has been previously negotiated, you will determine the final equation that will persuade the seller to sign on the dotted line.
