Financial Due Diligence

The functional due diligence that you undertake with your A-Team is complemented by financial due diligence of the seller’s books, usually conducted by expert accountants who specialize in this area. While you can allow your own in-house accountants to perform this work, I caution against it. The intricacies of financial due diligence are different from the everyday accounting that takes place in most businesses. However, it is important that you understand the overall process and the general areas of analysis. Figure 12-2 shows the chart I use to explain key elements of financial due diligence to my clients.
