THE OPENING PARAGRAPHS

The opening of the Letter of Intent serves as a qualitative marketing piece to set up the rest of the document. It is a description of how the two parties came to this point, similar to the opening section of the Pre-LOI Presentation. It contains the strategic rationale for the acquisition, including why you are interested in the prospect and where you see the fit. The opening need not be long but should be substantial enough to serve as a strong reminder of why the deal is taking place.
