Issuing shares to investors

If friends, family or outside investors have agreed to buy shares in your company, then now’s the time to issue them.

In the pack that you received when you registered your limited company, there will be some blank share certificates. Fill in a share certificate for each investor.

In the Memorandum of Association that you also received, you’ll find details of the share capital of your company, telling you what the maximum number of shares that can be issued is and what each share costs. An example is: ‘The share capital of the Company is £1,000. This is divided into 1,000 shares of £1 each’, but you could have 100 shares of £1,000 or 1,000,000 of 10 pence.
