IN TERMS OF GOVERNANCE, the role of the board is twofold: to support the CEO (which also entails hiring or firing the CEO, in a public company) and to help the CEO and the organization set a future direction. If culture is not factored into either of those two areas—that is, if the CEO that the board chooses is not right for the culture or if the direction from the board does not address culture (because it is simply not on the radar)—then I would argue that the board is not really doing its job.
