Division of Responsibilities Between the Board Leader and Chief Executive Officer

We include in this appendix a document setting forward the division of responsibilities between the board leaders and chief executive officer that Tyco board leader John Krol developed in collaboration with new CEO Edward Breen when both set out to rescue Tyco International in 2003.¹ It guided their joint leadership of the company in the years that followed. Recognizing that every enterprise has distinctive needs, we include the document verbatim as a useful illustration of the specific and tangible ways in which the identification and separation of their leadership duties can be explicitly expressed.
